These Terms & Conditions (“Terms”) govern access to and use of this website and any purchase of goods or services offered by ADARA Institute, LLC (the “Institute”, “ADARA”, “we”, “us”).
By accessing this website, submitting an inquiry, placing an order, or contracting any service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use this website or contract our services.
ADARA provides, depending on the section of this website and specific agreements, (i) professional and technological services (including consulting, web development, software applications, data platforms, and related digital solutions), (ii) laboratory and scientific services (including analytical and documentation services), and (iii) lawful commercial offering of scientific specimens and related materials (including meteorites and curated geological specimens).
Where required by applicable law or internal policy, certain services may be limited to professional, business, or institutional clients. We may request identification, tax information, or business details to issue invoices and confirm eligibility. We reserve the right to refuse orders or service requests that are incomplete, unlawful, or not aligned with these Terms.
Services. Any quote, proposal, statement of work, or email confirmation describing deliverables, timelines, pricing, and payment terms forms part of the agreement for services. Unless expressly stated, timelines are estimates and may depend on client responsiveness, data availability, shipping times, or third-party dependencies.
Goods. Orders for specimens are accepted only when confirmed by the Institute and payment is received (unless a different payment arrangement is agreed in writing). We may cancel or limit an order in case of suspected fraud, compliance concerns, pricing errors, or stock unavailability.
Prices are stated in the currency shown at checkout or in the quote. Payment methods may include bank transfer and/or authorized payment processors. Any bank fees, currency conversion costs, or intermediary charges are the responsibility of the buyer/client unless otherwise agreed.
Tax and invoicing. Invoices are issued by ADARA Institute, LLC (U.S.-registered). Depending on the client’s jurisdiction and status, VAT may be handled through reverse charge (B2B EU) or may not apply. Clients remain responsible for any local taxes, withholding obligations, customs duties, import fees, and compliance requirements in their jurisdiction.
Unless otherwise agreed in writing, the Institute grants the client a non-exclusive license to use deliverables created under a paid project for their intended purpose. Source code, templates, reusable modules, internal libraries, and methodologies may remain the property of the Institute. Third-party software, fonts, plugins, APIs, hosting services, and licenses are subject to their own terms and may require separate fees paid by the client.
Content on this website is provided for informational purposes and does not constitute medical, legal, or regulatory advice. Scientific opinions or interpretations are provided in a professional or research context and do not constitute official certification unless expressly stated in writing. Clients and buyers are responsible for obtaining independent professional advice where necessary.
We strive to describe specimens accurately (including mass, dimensions, classification notes, and provenance where available). Natural materials may show variation in appearance, texture, or surface features. Photographs are representative but may differ slightly due to lighting or monitor settings.
Specimens offered for sale are intended to be legally acquired and ethically sourced. The Institute does not offer protected cultural heritage, restricted materials, or scientific type specimens for sale. Buyers are responsible for ensuring that purchase, possession, import, and export are lawful in their jurisdiction.
Shipping options, estimated delivery times, and costs are provided at checkout or in writing. Delivery estimates are not guarantees. International shipments may be subject to customs procedures, inspections, delays, duties, taxes, or import restrictions.
Customs and import duties. The buyer is responsible for customs duties, taxes, brokerage fees, and compliance with import regulations. If an item is refused, seized, held, or returned due to import restrictions or the buyer’s failure to comply with local rules, any additional costs are borne by the buyer.
Risk of loss. Risk of loss or damage transfers to the buyer upon handover to the carrier, unless mandatory law provides otherwise. Where available, shipping insurance may be offered or required for high-value shipments.
Inspection upon delivery. Please inspect the parcel promptly upon receipt. If the item arrives damaged or incorrect, notify us within 48 hours of delivery with clear photos of (i) the outer packaging, (ii) inner packaging, and (iii) the item.
Returns (non-damaged / non-defective). If permitted by applicable law and accepted by the Institute, returns may be authorized within 14 days of delivery. Returned items must be unused, in original condition, and packaged securely. Return authorization must be obtained before shipping any return. The buyer is responsible for return shipping costs unless the return is due to our error.
Non-returnable cases. Refunds or returns may be refused if: (i) the item shows signs of use, handling damage, alteration, or contamination; (ii) documentation or included accessories are missing; (iii) the item was seized, refused, or delayed due to customs/import issues outside our control; (iv) the request is made outside the stated timeframes; or (v) the sale is otherwise final as indicated at purchase (e.g., discounted clearance items, special releases), except where mandatory law requires otherwise.
Authenticity and scientific nature. Natural specimens may present intrinsic variability. Differences in appearance that are consistent with natural variation or photographic/lighting differences do not constitute a defect.
Refund method. Approved refunds are issued to the original payment method, excluding non-refundable transaction fees charged by banks/payment processors where permitted by law.
Before work begins. If you cancel a service before work has commenced, we may refund the paid amount minus any non-recoverable costs (e.g., third-party licenses, reserved time, payment processing fees) where permitted by law.
After work begins. Once work has started, payments are generally non-refundable. If cancellation occurs mid-project, the client will be billed for work performed, time reserved, and committed third-party costs. Any refund, if applicable, will be limited to the unused portion of prepaid fees after deducting completed work and non-recoverable costs.
Deposits and milestones. Deposits, retainers, or milestone payments are typically non-refundable once the corresponding work phase has begun, unless otherwise agreed in writing.
Digital deliverables. Due to their nature, delivered digital work (code, designs, documents, data outputs) cannot be “returned.” Once delivered, refunds are not provided except where mandatory law applies or where a written agreement specifies otherwise.
If you have an issue, please contact us first at adara@meteoriteslab.org. Initiating a chargeback without contacting us may delay resolution. We reserve the right to suspend services or refuse future orders in case of abusive chargebacks or fraud.
The Institute is not liable for failure or delay due to events beyond reasonable control, including carrier disruptions, customs delays, payment processor outages, cyber incidents, natural disasters, geopolitical disruptions, or governmental actions. Where feasible, we will work with the client/buyer to find a reasonable solution.
Communications submitted via email or contact forms may be stored for operational purposes. If a dedicated Privacy Policy is published on this website, it will apply to the processing of personal data. By contacting us, you consent to receiving replies related to your inquiry, order, or service request.
We may update these Terms at any time. The version published on this page is the applicable version at the time of use, order, or contracting, unless otherwise required by mandatory law or explicitly agreed in writing.
These Terms shall be governed by applicable international private law principles. Where legally required, mandatory consumer protections and jurisdictional rules shall apply. In the absence of a mandatory forum, disputes shall be submitted to the competent courts determined in accordance with applicable law.
